Terms of Service

Last updated October 21, 2026

These Terms of Service (the "Terms") govern your access to and use of the Auxilator platform, websites, applications and related services (the "Service"), operated by Mustard Seed Credo Limited Company, a Wyoming limited liability company ("Auxilator", "we", "us" or "our").

By creating an account, accepting an order form or subscription plan, or using the Service, you (and any firm or organization you act for — "you", the "Customer") agree to these Terms, our Privacy Policy and our Data Processing Terms. If you use the Service for a firm, you confirm you are authorized to bind that firm.

1. The Service

Auxilator is an AI-assisted software platform for legal and professional teams. It helps users review documents, search and organize matter files, capture time, prepare client communications and run related workflows.

The Service is a productivity and research tool. Its outputs are AI-generated, may contain errors or omissions, and do NOT constitute legal advice. You remain solely responsible for reviewing all outputs and for any professional judgment or filing based on them. Using the Service does not create a lawyer-client relationship with Auxilator.

The Service is not Payment Card Industry (PCI) compliant. You must not use the Service to process or store cardholder data.

2. Third-party platforms and integrations

The Service may be accessed through third-party platforms such as Slack, Microsoft Teams, Google Workspace, Telegram, etc. ("Platforms"). Your use of a Platform is subject to its own terms, which we do not control, and we are not responsible for a Platform's availability or its handling of data on its own systems.

You are responsible for ensuring you are authorized to install and use our integration in your workspace, and that content you share through it is permitted. We may modify or discontinue an integration if a Platform changes its terms, APIs or policies.

Data we receive through an integration is Customer Data and is handled under these Terms, the Privacy Policy and the Data Processing Terms.

3. Accounts & eligibility

  • You must provide accurate registration information and keep it current.
  • Login credentials are personal to each user and must not be shared, including within the same firm.
  • You are responsible for activity under your account and for preventing unauthorized use.
  • You may grant your Affiliates access to the Service under your account. You are responsible for your Affiliates' use of the Service.

4. Acceptable use

You agree not to, and not to permit any user to:

  • use the Service in a way that infringes or violates any person's rights or any applicable law;
  • upload unlawful content, or personal genetic or biometric data;
  • reverse engineer or attempt to discover the source code or engineering of the underlying models or systems;
  • use automated means to scrape outputs, or circumvent usage limits or security controls;
  • resell or sublicense the Service except as expressly permitted;
  • access or use the Service from countries subject to comprehensive U.S. trade sanctions;
  • use the Service to process Protected Health Information without an executed Business Associate Addendum;
  • use the Service, or any output, to develop, train, fine-tune or improve any competing product, service or AI model, or to benchmark the Service for public disclosure without our prior written consent;
  • misrepresent output as human-generated, as legal advice, or as reviewed by a qualified professional, or submit output to a court, client, regulator or other third party without independent review by a suitably qualified person;
  • attempt to bypass, disable or manipulate the Service's safety features, filters, rate limits or system instructions, including by prompt injection or similar techniques;
  • upload or transmit malware or other harmful code, or use the Service to test, probe or attack the security of any system without our prior written authorization; or
  • use the Service for any purpose requiring professional certification or licensure that you do not hold, or in any situation where failure or inaccuracy could reasonably be expected to result in death, personal injury or serious environmental or property damage.

5. Your content & data

"Customer Content" means your inputs and the outputs you receive; "Customer Data" means documents and files you upload. As between the parties, you retain all right, title and interest (including intellectual property rights) in your Customer Content and Customer Data. You grant Auxilator a limited, non-exclusive, worldwide, royalty-free license to host and process them solely to provide, secure and support the Service for you, or as required by law.

You warrant that you have the necessary rights in your Customer Data and inputs to use them with the Service, and that your use complies with all applicable laws, including any data localization or sovereignty requirements.

You are responsible for the accuracy, content and legality of all Customer Data you upload.

6. No training on your data

Auxilator does not use your Customer Data or Customer Content to train, fine-tune or improve any general or third-party AI model. Our sub-processors will not train any AI models using your Customer Data or Customer Content. Sub-processors, except for cloud storage providers, will not retain or log your Content or Customer Data for human review. Nothing in this clause prevents Auxilator from processing Customer Data and Customer Content as reasonably necessary to provide, secure, troubleshoot and support the Service, to detect, investigate and prevent suspected abuse, fraud or security incidents, or where required by law, and Auxilator may use aggregated or de-identified data that does not identify you, your users or your clients for service analytics, capacity planning and improvement. Such processing does not involve training, fine-tuning or improving any general or third-party AI model.

Because outputs are AI-generated, other users may submit similar inputs or receive similar outputs; other users' generic queries and responses are not your Customer Content.

7. Confidentiality

Each party will protect the other party's confidential information (including, for Auxilator, all Customer Data and Customer Content) with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and sub-processors bound by confidentiality, or as required by law. Confidential information does not include information that: (a) is or becomes publicly available through no act or omission of the recipient; (b) was rightfully known to the recipient without any obligation of confidentiality before disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the recipient without use of or reference to the disclosing party's confidential information. These exclusions do not apply to Customer Data or Customer Content.

Auxilator recognizes Customer Data may be subject to legal professional privilege and client confidentiality, and will handle it accordingly.

If either party is required by law or court order to disclose confidential information, it will (to the extent legally permitted) give the other party advance written notice and cooperate in seeking confidential treatment.

Each party acknowledges that disclosure of confidential information would cause substantial harm for which damages alone may not be a sufficient remedy, and the other party may seek equitable relief (injunction) in addition to other remedies.

8. Intellectual property

Auxilator and its licensors own all right, title and interest in the Service, its software, models and documentation. No rights are granted except the limited right to use the Service under these Terms.

Feedback you provide may be used freely to improve the Service, provided it is not used in a way that identifies you, your users or your data.

We warrant that we will not use any software in the Service that would cause your software to become subject to an open source license requiring disclosure or distribution of source code.

9. Fees & payment

Fees, subscription term, plan and currency are as set out in your order form or subscription plan. Unless stated otherwise, fees are exclusive of taxes and non-refundable. We may suspend access for undisputed fees unpaid after written notice.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Auxilator disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that outputs are accurate, complete or fit for any legal or professional purpose. You must verify outputs before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of income, data, profits, revenue or business interruption, or the cost of substitute services. This exclusion applies even if the party was advised of the possibility of such damages, and regardless of whether any limited or exclusive remedy is found to have failed of its essential purpose.

Except for (i) your payment obligations and (ii) liability that by law cannot be limited, Auxilator's total aggregate liability for all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), warranty, strict liability or otherwise, will not exceed the fees paid by you to Auxilator in the 12 months preceding the first event giving rise to liability. If you have used the Service for less than 12 months at that date, the cap is the fees actually paid by you as at that date. This is a single aggregate limit applying to all claims taken together and to Auxilator, its Affiliates, licensors and suppliers collectively; multiple claims do not increase it. No claim may be brought under these Terms more than 12 months after the claiming party first became aware, or reasonably should have become aware, of the facts giving rise to the claim.

12. Term, termination & data return

  • These Terms apply while you use the Service or hold an active subscription.
  • Either party may terminate for material breach not cured within 30 days of notice.
  • On termination, your right to use the Service ends and unpaid fees for services used remain payable.
  • On request within 30 days of termination, Auxilator will make Customer Data available for export, then securely delete it per the Data Processing Terms.
  • Upon termination, you will promptly return or destroy any Auxilator confidential information.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will give reasonable advance notice before they take effect, and will not weaken our commitments on confidentiality, Customer Data or security without your consent.

14. Governing law & disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts of laws.

Arbitration. Any dispute, claim or controversy arising out of or relating to these Terms, or the relationship between the parties, shall be resolved by binding arbitration. Each party shall bear its own costs and fees of such arbitration. Venue for any dispute related to these Terms, including arbitration, shall be in Texas, USA or in another jurisdiction suitable to all parties by mutual agreement.

15. General terms

Assignment. Neither party may assign these Terms without the other's written consent, except that Auxilator may assign to an Affiliate or in connection with a merger or sale of all or substantially all assets.

Subcontracting. Auxilator may use subcontractors and third-party providers, and remains responsible for their performance under these Terms.

Severability. If any provision is held unenforceable, it will be limited to the minimum extent necessary so the remaining Terms stay in effect.

No waiver. No waiver will be implied from conduct or failure to enforce rights. No waiver is effective unless in writing signed by the waiving party.

Entire agreement. These Terms are the complete and exclusive statement of the parties' understanding and supersede all prior agreements and communications relating to the Service.

Order of precedence. If there is a conflict between documents, the following order of precedence applies: (i) the applicable order form or subscription plan; (ii) the Data Processing Terms; (iii) these Terms; and (iv) the Privacy Policy. No terms in any purchase order or other customer document have any effect, even if acknowledged or accepted.

Notice. All formal notices must be in writing and sent, in the case of Auxilator, to legal@auxilator.com, and, in the case of the Customer, to the email address on your account or in your most recent order form. Notices may be given by email and are deemed given on the date of transmission if sent on a business day at the recipient's location, and otherwise on the next business day, unless the sender receives a delivery failure notification.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, labor disputes, utility failures, natural disasters, public health emergencies, acts of government, terrorism or war. Force majeure does not excuse any obligation to pay amounts due. If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected subscription on written notice, and Auxilator will refund prepaid fees for the unused portion of the term.

Export control. The parties comply with all applicable U.S. and other export and import laws. The Service may not be used for the benefit of any U.S.-embargoed country or designated restricted party.
